I. Declarant & Scope of Application

This Legal Statement is legally issued by Servalparts (hereinafter referred to as “we/us”) and applies to all Users (clients, suppliers, partners) using our supply chain services (including supplier matching, logistics & warehousing, financial support, etc.), as well as all entities accessing our official website or using our system tools.

Using our services or accessing our relevant information constitutes your full understanding, recognition, and acceptance of all terms herein. If you disagree, please immediately cease using the relevant services.

2. Service-Related Statements

2.1 Service Content & Changes

  • The content of our services shall be subject to the Service Cooperation Agreement and real-time confirmed communications. We reserve the right to reasonably adjust services (e.g., modify warehousing locations, update financing application criteria) based on legal updates, industry standard adjustments, or internal business optimization;
  • Service changes will be notified to Users 3 working days in advance via reasonable channels such as email or official website announcements. If you disagree with the changes, you may terminate the cooperation, and both parties shall settle accounts as agreed in the Agreement. Continuing to use the services will be deemed acceptance of the changed content.

2.2 Entity Qualification & Compliance Commitment

  • We are a legally registered service and trading company with full qualifications for China-South Africa auto parts supply chain operations. Qualification documents can be presented upon reasonable request;
  • Users warrant that they are legally established business entities, and the provided qualification documents, product information, etc., are authentic, valid, and compliant with laws and regulations of China, South Africa, and relevant international trade (e.g., South African SABS certification, import/export tariff policies). Users shall bear all losses (e.g., fines, cargo detention) caused by their non-compliance. We reserve the right to terminate services and claim damages.

2.3 Service Availability & Limitations

  • We will use reasonable efforts to ensure service continuity and stability but do not guarantee uninterrupted services (except for brief interruptions caused by system upgrades, force majeure, third-party service failures, etc.);
  • We shall not be liable for service delays or unavailability caused by the following circumstances:
    (1) Force majeure such as natural disasters, wars, or strikes;
    (2) Restrictions caused by government administrative actions or policy adjustments;
    (3) User-side network failures, operational errors, or failure to provide necessary assistance as agreed;
    (4) Issues caused by uncontrollable third-party services (e.g., port congestion, delayed customs inspection).

3. Intellectual Property Statement

  • We own all intellectual property rights (including copyright, trademark rights, patent rights, etc.) to official website content, system software (e.g., order tracking system, inventory management tool), service plans, and logos. No entity may copy, disseminate, tamper with, or use them for commercial purposes without our written permission;
  • The intellectual property rights to product images, technical parameters, and other information provided by suppliers belong to the suppliers. Suppliers warrant that such information does not infringe on third-party rights. Any intellectual property disputes arising therefrom shall be borne solely by the suppliers and have no connection with us.

4. Limitation of Liability & Disclaimer

4.1 Disclaimer for Indirect Losses

We shall only be liable for direct losses (e.g., direct costs caused by cargo damage or misdelivery) resulting from our intentional misconduct or gross negligence. We shall not be liable for indirect losses (e.g., loss of profits, goodwill damage, business interruption losses).

4.2 Third-Party Liability Isolation

  • Our cooperation with logistics service providers, payment institutions (e.g., MustangPay), and other third parties is merely a necessary arrangement for service provision. The service quality and liability of third parties shall be borne by themselves. We are not directly liable for third-party breaches or infringements but will assist Users in negotiating with third parties;
  • Product quality disputes (e.g., non-conforming performance, quality defects) between Users and suppliers shall be resolved through friendly negotiation or legal channels. We may provide relevant evidence such as order records but do not assume product quality guarantee liability.

4.3 Information Security Liability

We have adopted security measures such as encrypted storage and access control to protect User information (see Privacy Policy). However, if information leakage occurs due to technical risks beyond reasonable control (e.g., cyberattacks, hacking), we shall not bear further liability after fulfilling emergency response and notification obligations.

5. Compliance & Applicable Law

  • This Statement and our cooperation shall be governed by the relevant laws and regulations of China and South Africa. Issues involving cross-border trade and data transmission shall also comply with international treaties and practices;
  • Disputes arising from this Statement or service cooperation shall first be resolved through friendly negotiation. If negotiation fails, either party may apply for arbitration to the Johannesburg Arbitration Commission (South Africa) or file a lawsuit with the competent court at our principal place of business (Johannesburg, South Africa).

6. Other Terms

  • This Statement is a supplementary clause to the Service Cooperation Agreement. In case of inconsistency, the Agreement shall prevail; matters not stipulated herein shall be governed by this Statement;
  • We reserve the right to revise this Statement based on legal changes or business development. The revised Statement will be notified via official website announcements or email and take effect on the date of notification;
